We are looking for employees who share our commitment.The Africa & Middle East Corporate & Governance Manager provides corporate expertise to the regional headquarters in respect of the Africa & Middle East entities of Veolia. She/He is responsible for and relied upon to deliver timely, accurate and reliable corporate legal support and advice. This position is based full-time at the Veolia head office in Aubervilliers (France).Job DescriptionResponsibilitiesReporting to the Africa & Middle East General Counsel, the role will involve the below:

• Management of corporate governance for Africa & Middle East companies: monitor and advise recommendations for the entities’ compliance with corporate governance to ensure all relevant legal and statutory requirements are met.
• Implementing Group procedures related to governance (legal representatives appointment, delegation of authorities, intellectual property rules), continuous improvement and innovative best practice in governance.
• Draft and vet corporate resolutions in respect of board meetings, committees, annual general meetings and circular resolutions and follow up on action points.
• Assist in creation, incorporation, dissolutions of corporate bodies in the region including drafting or review of articles of association, shareholders agreements, sale or purchase shares agreements.
• Lodge required corporate forms and annual returns with appropriate departments.
• Manage changes of directors, registered offices, increase of capital and general company secretariat functions.
• Prepares and submits required corporate filings. Assist supervising attorneys with creation and dissolution of corporate entities.
• Keep updated the corporate entities’s registrations with governmental authorities.
• Maintain up to date the group digital tools for recording corporate information.
• Liaise with external governmental authorities, regulators and advisers, lawyers, public notaries.

QualificationsQualificationsAt the minimum Master’s degree in Law, knowledge of common law system preferableExperience and skills

• At least 5 to 10 years of experience in a corporate department/company secretary role for
• Effective and efficient delivery of top-quality corporate expertise
• Professional command of legal French and legal English (spoken and written) and ability to translate both
• Be hands-on, detail oriented & able to function in a lean environment
• Must uphold the ethical standards of the legal profession.
• Team-oriented and works well in cross-functional teams
• effective use of personal computers, computer databases, word processing and spreadsheet programs in legal research and library applications.
