An exciting opportunity has arisen for a newly created Assistant Company Secretary to join a high profile national retail business based in Manchester. The Assistant Company Secretary will report into the Deputy Company SecretaryAssistant Company SecretaryManchesterRole:

• Provide oversight to ensure compliance with UK statutory, regulatory and corporate governance
• Act as the named secretary for subsidiary boards and committees being responsible for the annual cycle of events, attending meetings and giving governance advice to Directors Managing corporate records and ensuring their accuracy
• Lead key projects such as restructuring activity
• Work as part of a team to deliver the AGM and related activities
• Work with other Board Secretariat colleagues to develop and implement processes and procedures that meet with governance and statutory requirements
• Conduct Board Effectiveness Reviews and manage director inductions and training
• Horizon scan to identify governance trends and emerging issues

• Strong working background in a Company Secretarial position
• Demonstrable experience of managing Board and/or Committee meetings, including minute writing and managing related activities
• Excellent working knowledge of Companies Act 2006 and UK Corporate Governance Code
• Outstanding stakeholder engagement and influencing skills
• CGI qualified (desirable)
