With a 200-year legacy and a shared passion for what’s next, this is the right place to build a fulfilling career.Join us as an Assistant Company SecretaryBrown Brothers Harriman is currently recruiting Assistant Company Secretary to join our Office of the General Counsel.In this role you will be responsible for assisting the Corporate Secretary in maintaining the legal and organizational structure of the Firm and its subsidiaries and implementing global consistency throughout the board of directors and audit committees of the Firm’s affiliates.You will also attend BBH affiliate board of directors and board committee meetings and/or operational committee meetings and will be responsible for the preparation and maintenance of the minutes of those meetings. In addition, you will research and prepare filings to maintain the Firm and organizational structure, together with filings upon a change to directorships, a change to the partnership or other organizational changes.Some of your key responsibilities include:Affiliate Board and Committee Meetings and BBH Operating Committee Meetings

  • Attend Board/committee meetings. Prepare meeting minutes, resolutions and other Board/committee documents to properly and accurately document the actions of the Board/committee.
  • Prepare and disseminate agendas and meeting presentations for Board/committee meetings.
  • Work closely with Board/committee members to ensure the proper functioning of the Board/committee.
  • Ensure that the Firm subsidiaries satisfy their bylaws or other organizational documents and any applicable corporate governance laws, rules and regulations.

Partnership and Other Filings

  • Conduct analysis to determine if corporate or regulatory filings are required.
  • Research and prepare filings to maintain the Firm’s organizational structure, including filings required to transact business in various jurisdictions, corporate governance filings required in various jurisdictions and filings upon a change to directorships, a change to the partnership or other organizational changes.

Drafting / Reviewing

  • Periodically review Committee charters and organizational documents and recommend revisions / enhancements.
  • Draft amendments to the Firm’s or its subsidiaries’ organizational documents.
  • Review and revise intercompany agreements, during the Firm’s periodic review of the arrangements.

Qualifications:

  • Minimum of 5 years corporate/fund governance experience required.
  • Notary license preferred.
  • Excellent oral and written skills.
  • Excellent organizational and research skills.
  • Good judgment and decision making.
  • Diligent, meticulous and adaptable to changing demands/priorities.
