Job description
- Serve as Corporate Legal Counsil for the Dutch Management Board, overseeing all aspects of meeting coordination, agenda preparation, and follow-ups.
- Act as corporate secretary for the Dutch Management Board, handling all meeting-related activities.
- Provide support to the EU Group Company Secretary for the Dutch Supervisory Board and its Committees, including meeting scheduling, agenda preparation, report generation, material distribution, minute-taking, and managing action items.
- Attend Dutch Supervisory Board and Committee meetings alongside the EU Group Company Secretary.
- Offer expert guidance on Dutch corporate law and governance practices.
- Use Board Vantage and Diligent Entities for board portal management and entity records.
- Manage commercial registry filings and statutory registers for EU entities.
- Prepare routine corporate documents like resolutions, officer/signatory changes, annual accounts, and dividend matters, liaising with external legal partners when needed.
- Organize document signatures, notarization, and legalizations.
- Keep the team updated on relevant legal and regulatory changes and their impact on the business.
- Assist with corporate projects, such as legal entity simplification.
- Coordinate with external legal partners across Europe.
- Step in for the EU Group Company Secretary when necessary.
- Perform other related duties as required.

- Education: Dutch law degree, specifically in corporate law.
- Experience: At least 5 years of relevant legal experience in a law firm or legal department of a financial services firm.
- Knowledge & Skills:
- Strong understanding of Dutch corporate law, including the Dutch Civil Code, Financial Supervision Act, and Corporate Governance Code.
- Proficient in drafting, reviewing, and managing corporate legal documents such as Board/Committee minutes.
- Familiarity with Board Vantage and Diligent Entities (or similar systems).
- Ability to build strong relationships with stakeholders at all organizational levels.
- Excellent communication, organizational, and prioritization skills.
- Proficient in Microsoft Office.
- Ability to perform well under pressure and meet deadlines.
- Enthusiastic about a career in corporate governance.
- Fluent in both English and Dutch (written and verbal).
Preferred Skills & Experience:
- Experience working with a two-tier Dutch Board and Committees.
- Knowledge of Solvency II regulations for insurance companies.
- Familiarity with corporate law in France, Italy, Spain, and/or Germany.
- Proficiency in other European languages.
Additional Information:
- Work Environment: Primarily office-based with occasional travel to the UK Head Office (1-2 times per year).
- Physical Requirements: Standard office tasks; ability to sit, stand, and lift up to 10 pounds occasionally.

- Salary: Up to €90,000 annually.
