Senior M&A – Project Development Lawyer M/W

Position based in Paris 15, international travel to be planned.

As a member of the legal team, reporting to the Head of International Affairs and Strategic Partnerships, your main responsibilities will be as follows:

• Supporting and advising the Business Development department, in conjunction with the M&A department, in the following areas
• acquisition or disposal of companies, exploration or production mining licenses and
• setting up partnerships/joint ventures,
• In this role, you will be responsible for :
• Drafting and negotiation of preliminary agreements (NDAs, LOI, MOU etc.);
• Participation in due diligence: review of legal documentation, risk assessment ;
• Drafting and negotiating transactional documentation (share or asset sale agreements, earn-in contracts, joint venture agreements, shareholders’ pacts, etc.);
• Assistance in implementing agreements (including monitoring JV governance bodies), and any warranty claims.

Your Profile:

• Higher education in business law (Bac +5)
• 8 to 10 years’ experience in an international firm or company,
• Ability to work in project mode
• Autonomous and able to work in a team
• Organized and responsive, able to anticipate requests
• Pragmatic and rigorous
• Excellent writing and interpersonal skills
• Excellent level of written and spoken legal English
