Position based in Paris 15, international travel to be planned.
As a member of the legal team, reporting to the Head of International Affairs and Strategic Partnerships, your main responsibilities will be as follows:
- Supporting and advising the Business Development department, in conjunction with the M&A department, in the following areas
- acquisition or disposal of companies, exploration or production mining licenses and
- setting up partnerships/joint ventures,
- In this role, you will be responsible for :
- Drafting and negotiation of preliminary agreements (NDAs, LOI, MOU etc.);
- Participation in due diligence: review of legal documentation, risk assessment ;
- Drafting and negotiating transactional documentation (share or asset sale agreements, earn-in contracts, joint venture agreements, shareholders’ pacts, etc.);
- Assistance in implementing agreements (including monitoring JV governance bodies), and any warranty claims.
Your Profile:
- Higher education in business law (Bac +5)
- 8 to 10 years’ experience in an international firm or company,
- Ability to work in project mode
- Autonomous and able to work in a team
- Organized and responsive, able to anticipate requests
- Pragmatic and rigorous
- Excellent writing and interpersonal skills
- Excellent level of written and spoken legal English
