On behalf of our client, an international Financial Services structure, we are looking for a:Corporate Secretary – German speaking (m/f)Description de l’offreResponsibilitiesTransaction ManagementManages a varied portfolio of securitization and structured finance transactions covering a wide asset base including CMBS, RMBS, consumer credit, CLOs and auto receivables transactions.Communicates and coordinates with clients as well as all internal and external parties on the transactions in the allocated portfolio.Ensures the proper handling of transactions, including but not limited to incorporation, on-boarding, documentation review and execution in line with processes and procedures.Corporate Secretarial ServicesManages all company secretarial obligations for allocated special purpose vehicles (SPVs).Manages the timely organization and preparation of board meetings.Ensures good legal standing of all SPVs under management during the whole “lifecycle” of companies.Business DevelopmentMaintains and grows relationships with existing clients and intermediaries.Attends meetings with clients and intermediaries.Coordinates timely reporting of legal issues with clients.ComplianceAdheres to the Group’s client acceptance process and procedures and executes periodic review of client files to ensure ongoing compliance.Ensures all SPVs comply with regulations that are relevant to them including, but not limited to, Market Abuse Regulations.Client InvoicingSubmits time recording on a timely basis to ensure appropriate chargeability and a proper invoicing of chargeable work.Responsible for preparation of client billing files in line with the corresponding services agreement.Profil recherchéProfileDegree educated in Law or equivalentAt least 4 years of relevant working experience with a corporate service provider, a bank or another financial institutionPrevious experience with securitisation and capital markets transactions would be an advantageFluency in German AND English is a mustExcellent communication and organizational skillsAbility to multi-taskAbility to work on own initiative and to be highly disciplinedPostuler à cette offreLes champs marqués d’un * sont obligatoiresNom*Prénom*Adresse email*Pays de résidence*Votre CV * Choisir un fichier* Extensions autorisées : .doc, .docx, .pdf ou .rtf – Taille maximum autorisée : 2MoPolitique de confidentialité* J’ai lu et j’accepte la et le traitement de mes données personnelles pour les finalités précitées.¹dest_email*¹ Les informations collectées par TRANSMAN International Consulting via ce formulaire font l’objet d’un traitement informatisé ayant pour finalité la gestion des fichiers de candidatures et du recrutement.
