Job Title Legal Counsel Senior Specialist, Legal Entity ManagementSummaryWe are looking for a diligent, high-capacity individual with the ability to manage many tasks and deadlines at a time. The candidate should have exceptional attention to detail, organizational and project management skills. Existing subject matter expertise should be accompanied by a growth mindset to reliably produce high quality work products and innovate to improve efficiency. Building relationships of trust with people at all different levels of the corporation is critical to success in this role. Strong written and verbal communication skills are also important for this candidate.Key Responsibilities:

  • Provide country-specific legal advice on entity activity and corporate responsibilities;
  • Perform and oversee the proper legal entity maintenance of all Amadeus entities globally, including annual account approval process and corporate filing requirements in close collaboration with finance teams and BOS; support incorporation of new entities, reorganizations, mergers and liquidations;
  • Prepare and document board or shareholder actions and corporate changes in the entities;
  • Manage accurate and complete corporate data using PowerBI or similar tool;
  • Optimize efficiency based on knowledge and experience with the policies, procedures and business plan. Uses project management & tech-ops skills to support and drive improvement LEM processes and leverage tooling to achieve highest degree of automation;
  • Draft and maintain corporate oversight related policies (e.g., regarding powers of attorney, board composition), in close collaboration with BOS;
  • Prepare and deliver director/officer training;
  • Prepare and attend annual board meetings as needed;
  • Facilitate intercompany agreements;
  • Manage relationships with external counsel;
  • Budget tracking;
  • Coordination with all Amadeus business units, business unit legal teams, finance, treasury and other corporate and compliance teams.

About the ideal candidate:

  • University degree in Law and qualification to practice in at least 1 jurisdiction or professional company secretary certification, for example, Chartered Secretary, Company Secretary Professional Certificate or Chartered Governance Professional;
  • 3-4 years’ post qualification experience preferably in corporate governance roles, experience with multinational companies a plus;
  • Familiarity with corporate governance and related legal requirements; basic familiarity with finance/accounting/tax terminology is an asset;
  • Legal drafting skills for board and shareholder resolutions, powers of attorney and similar legal documents;
  • English written and oral fluency required for communication with internal stakeholders and external legal advisors;
  • Spanish written and oral fluency would be a strong asset but is not a requirement. Any additional languages a plus;
  • Tools: Solid proficiency with MS Office Suite, Word, Teams, Copilot, PowerPoint, Excel, SharePoint and DocuSign, comfortable learning new technology, familiarity with Ironclad, Adobe, legal entity management software; PowerBI a plus;
  • Keen attention to detail, highly organized;
  • Adaptable and comfortable working in a global, fast paced environment;
  • High ethical standards and integrity handling sensitive corporate matters and personal information;
  • Strong relationship builder able to develop and maintain a large network of internal and external partners; ability to communicate appropriately with all levels of the corporation.
