As part of a team of over 900, you will be encouraged to learn and to grow, both professionally and personally.About the roleAn exciting opportunity has opened for a Group Company Secretary to join Davy.The Group Company Secretary will report directly to the Chief Executive Officer . The successful candidate will work closely with the CEO and other relevant departments within Davy including Legal, Risk & Compliance.You have will have experience developing, implementing and maintaining corporate governance policies and procedures, to modern best practice standards, for regulated entities within the financial services industry. You will be a highly organised team player with well-developed communication, inter-personal skills, with an ability to interact with Board members, Executive Committee (ExCo) and Heads of Departments. In the role, the successful candidate will:
- Provide support and assistance to the Davy Group on the day-to-day company secretarial and corporate governance matters and to assist in the managing, mitigating and monitoring of corporate governance risk.
- Develop, implement and maintain internal governance policies and procedures.
- Ensure that the corporate governance and administration of Group entities comply with all applicable statutory and regulatory requirements, governance standards and internal policies and procedures.
- Manage board and sub-committee internal governance procedures including annual tasks, for example, arranging board effectiveness, skills and time assessments and updating Terms of References.
- Oversee, develop and implement effective Board and Committee processes and controls to ensure an appropriate and professional administrative service is delivered in support of the Board directors and in response to regulatory and industry changes.
- Prepare agendas, draft board papers and resolutions, prepare board packs, organise, attend and minute Board and Committee meetings.
- Maintain and managing a schedule of agenda items and actions in respect of Board and Committee meetings and following up with responsible executives.
- Manage all statutory/filing requirements and related internal processes, including ensuring all annual returns, filings and registrations are accurate and made on time.
- Ensure the maintenance of all statutory records and company registers for the company and all subsidiaries.
- Keep up to date with legal developments and corporate governance standards.
- Manage the Group’s registrar relationship and related activities, including all shareholder requirements, communications and meeting requirements.
Requirements:About youWe are looking for somebody who has the following background and skills:
- Relevant professional qualification (ICSA / Chartered Governance Qualifying Programme preferred).
- 3+ experience in a similar role in a corporate, regulated / financial services environment.
- Solid technical knowledge of company law and corporate governance standards and practices.
- Excellent communication skills with the ability to build relationships across the business and at all levels of management up to and including Board of Director level.
- Demonstrable planning and organisational skills, with strong attention to detail and focus on accurate, quality work.
- Ability to work on own initiative and in partnership with Finance, Legal, Risk & Compliance teams.
