Help us do it.Description OverviewOur Legal team is a valued, solution-focused partner and is integral to our business and central to the success of our evolving global organization.In this role you will become part of a Global World Class Legal Team, based in our Dublin, Ireland offices and reporting into the Senior Director Global Corporate Governance and Assistant Secretary.We offer a hybrid working pattern (3 days per week working onsite, 2 days per week working remotely).Scope of the RoleAs a Global Legal Team Corporate Governance Associate, your responsibilities will include (but not limited to):Corporate Governance Management:

  • Prepare and file annual reports and corporate compliance filings for all global subsidiaries
  • Convene subsidiary board meetings and draft board minutes for review
  • Monitor and manage subsidiary compliance
  • Manage and maintain GEMs database and corporate records
  • Prepare and arrange execution, notarisation and apostille of required documents
  • Partner with various departments with respect to ad-hoc intercompany projects


  • Perform and/or assist with trainings or presentations
  • Coordinate and manage governance training for subsidiary directors and officers


  • Projects: Complete and manage ad hoc projects as required
  • Assist Drafting: Assist inhouse counsel with drafting of documents as required
  • Process Review: Assist and recommend system and process improvements for various groups throughout the company
  • Legal Research: Occasional legal topic research, as needed

Experience Required

  • Preferred an educational degree and 4+ years of relevant experience
  • Company secretarial qualification, or corresponding work experience, as a broad-based company secretary preferred
  • Project management experience
  • Expert knowledge in Microsoft Office applications e.g. Word, Excel, PowerPoint, etc.
  • Ability to work independently and meet deadlines
  • Ability to manage and prioritize workload to meet multiple concurrent deadlines
  • Inclusive with open mindset in dealing with different types of stakeholders
  • Excellent attention to detail
  • Excellent organizational and time management skills
  • Excellent verbal and written communication skills, with the ability to explain complex legal issues clearly and concisely
  • Proven track record in delivering results, and hands-on ability to manage complexity
