What we’re looking for

The Corporate Secretary will play a central role in the Maritime Emissions Reduction Centre’s (MERC) transition to an independent and compliant Greek Civil Non-Profit Company (AMKE). The role is responsible for establishing and maintaining the Centre’s statutory, financial, and administrative integrity in the Greek jurisdiction, ensuring that all operations are compliant with AMKE regulations, Greek tax and VAT obligations, and the governance framework of the company.

This position is designed for a highly organised, detail-oriented professional with strong familiarity in Greek corporate law and SME-level financial administration. The Corporate Secretary will act as the operational bridge between MERC’s Managing Director, local professional services providers (accounting, payroll, legal, and banking), and Lloyd’s Register Group enabling functions.

The role

Corporate Governance and Compliance

-Maintain MERC’s Articles of Association, Governing Committee resolutions, and minutes in accordance with Greek AMKE requirements.
-Manage all filings to GEMI (General Commercial Registry) including changes in legal representation, board composition, or statutory reports.
-Oversee compliance with donation acceptance and recording procedures required for AMKEs.
-Support the Managing Director in maintaining and updating the Delegation of Authority framework, ensuring controls and reporting thresholds are followed.
-Manage the execution and filing of Membership Agreements, Deeds of Adherence to the Strategic Cooperation Agreement, and other associated donation agreements. Ensure all such instruments are properly registered, compliant with AMKE donation reporting standards, and aligned with Greek tax requirements.
-Oversee compliance with all regulatory obligations
 

Accounting and Statutory Reporting

-Liaise with the appointed accounting firm to ensure accurate bookkeeping, journal entries, and reconciliation in compliance with Greek GAAP and AMKE standards.
-Oversee VAT submissions, withholding tax, and myDATA e-bookkeeping compliance.
-Review and verify monthly and quarterly management accounts; prepare compliance reports for submission to the GC.
-Coordinate annual statutory audits and ensure timely submission of financial statements.
 

Payroll and Human Resources Administration

-Oversee Greek payroll execution through external providers, ensuring timely submissions to EFKA and correct use of Entypo 3 and Entypo 4 forms.
-Maintain employee records and ensure correct calculation and remittance of social contributions and tax withholdings.
-Support onboarding/offboarding processes and ensure compliance with Greek labour law.
 

Banking, Treasury, and Donation Management

-Administer MERC’s bank accounts, including the new local Greek clearing account for tax and social fee payments.
-Implement dual-approval and authorisation controls in line with the Delegation of Authority.
-Coordinate payments for suppliers, payroll, and compliance fees, ensuring full audit traceability.
-Manage monthly cash flow forecasts and reconciliations with the accounting firm.
-Administer the donation cycle, including recording, approval, and disbursement of donor contributions in compliance with Greek AMKE legislation.
-Ensure correct tax payments and declarations associated with donations and maintain auditable records to demonstrate compliance with Greek tax law.
 

Vendor and Professional Services Management

-Lead the evaluation, contracting, and performance monitoring of accounting, payroll, and legal service providers.
-Establish SLAs and KPIs for outsourced functions.
-Maintain documentation of procurement and vendor onboarding compliant with Greek tax and AML requirements.
 

Internal Records and Process Management

-Build and maintain a central document repository (SharePoint or equivalent) for statutory, HR, and governance records.
-Implement internal calendars for VAT, EFKA, and GEMI deadlines.
-Ensure consistent filing of signed resolutions, agreements, and reports.
 

What You Bring:

-Degree in Accounting, Finance, Shipping Economics, Shipping Trade and Transport, Business Administration, or Law (Greek university or equivalent).
-Minimum 5 years’ experience in a similar corporate administration or company secretary role, ideally within an AMKE or Greek SME.
-Demonstrable understanding of:
-AMKE governance and reporting requirements.
-Greek VAT and myDATA e-bookkeeping.
-EFKA and employment compliance processes.
-Greek commercial banking protocols (account setup, dual authority, reconciliations).
-Proven experience managing vendors such as accountants, payroll providers, and legal advisors.
-Fluent in Greek and English (oral and written).
-Experience with EpsilonNet, Soft1, QuickBooks, or Xero accounting systems.
-Exposure to international organisations, NGOs, or non-profit collaborations.
-Understanding of maritime or technical project environments.
