Engie HQ brings together all of the Group’s corporate functions which define, support and manage the deployment of policies across all Group entities. HQ is also in charge of leading business and operational sectors to bring them towards excellence and support performance (Finance, HR, IT, Legal, Communication, Health and Safety, etc.).
It is made up of business sectors (Finance, HR, IT, Purchasing, CSR, Communication, etc.) as well as GBU HQ (Renewables, Infrastructure, Energy Solutions, Flex Gen).
The organization of HQ is characterized by the dual location of its teams, distributed between Paris – La Défense (T1) and Brussels, the importance of matrix relationships and the structure of its workforce.
Group Legal & Ethics Department
The Legal & Ethics Department is responsible for steering and coordinating the function, which is made up of everyone who carries out a legal or ethical role in the Group. Its purpose is to:
- Support the Group’s development and growth as well as that of its operational activities;
- Contribute to controlling legal and ethical risk;
- Contribute to a cross-functional approach, by ensuring the consistency of legal activities (development of legal policy, etc.) and supporting company synergies;
- Ensure compliance with the Group’s ethical principles.

Senior Legal Counsel – M&A and Corporate (M/F)
Based in Paris
Available for occasional traveling abroad, on short notice

Head of Group Legal M&A
Mission
- Provide legal support to major mergers, acquisitions, partnerships, and divestments files for the ENGIE Group and its affiliates
- Counseling on corporate law and financial markets law issues from time to time
Internal interfaces
- Finance M&A department
- Group executive committee members
- GBUs executive management
- Support Function line of Engie (AIFA; DOSGG; Ethics…)
- ENGIE Legal Line
External interfaces
- Partners, sellers, buyers and their respective teams and counsel
- External counsel and technical experts; investment bankers and advisors
- Public authorities such as: ministries, administrations, regulators
Degree and experience
- Law degree from a reputable French university, with an outstanding academic track record; additional degrees, especially abroad, are a plus
- At least 7 years of relevant M&A practice in a global law firm or, alternatively, in a large multinational corporation.
- Extensive demonstrated hands-on experience in conducting complex M&A files in a cross-border context.
- Experience abroad is highly valued.
- Additional experience in or knowledge of French corporate law, corporate governance, financial markets regulation, tax, competition law, energy regulation is a plus.
Languages
Fluent in French and English
Any other language is a plus
